Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Jamly mobile application,
websites, and related services (collectively, the "Services") provided by Jamly LLC ("Jamly",
"we", "us", or "our").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree,
do not use the Services.
1. Eligibility
- You must be at least 18 years old to use the Services.
- By using the Services, you represent that you have the legal capacity and authority to enter into these Terms.
- You must comply with all applicable laws, rules, and regulations when using the Services.
2. Account Registration and Security
- You may need to create an account to access certain features of the Services.
- You must provide accurate, current, and complete information during registration and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
- You must notify us immediately at [email protected] if you suspect unauthorized use of your account.
- We may refuse registration, or suspend or terminate your account, at our discretion if you violate these Terms or create risk for us or other users.
3. The Services; Changes and Availability
- The Services help users discover, create, and join music-related gatherings, jams, and events.
- We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.
- We may introduce new features or impose limits on certain features, at our discretion.
- We do not guarantee that the Services will be available at all times or from all locations.
4. Acceptable Use and User Conduct
You agree not to use the Services to do any of the following:
- Violate any applicable law, regulation, or third-party right.
- Harass, threaten, stalk, abuse, harm, or otherwise interfere with other users.
- Post, upload, or share content that is illegal, defamatory, obscene, hateful, discriminatory, or otherwise objectionable.
- Promote violence, self-harm, or illegal activities.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
- Send spam, unsolicited communications, or engage in any form of fraudulent or deceptive behavior.
- Create fake events, mislead users about the nature of an event, or use the Services primarily for non-authorized commercial purposes.
- Attempt to gain unauthorized access to the Services or related systems (including hacking, scraping, or reverse engineering).
- Introduce malware, viruses, or other harmful code.
- Interfere with or disrupt the integrity or performance of the Services.

5. Events, Jams, and In-Person Interactions
- Users, not Jamly, create and host events and jams. Jamly does not control, supervise, or manage users or events.
- Event organizers are solely responsible for the events they create, including compliance with any local rules, permits, safety requirements, or venue obligations.
- You understand that attending in-person events involves inherent risks, and you participate at your own risk.
- Jamly does not conduct background checks on users and does not guarantee the conduct, identity, or safety of any user or event.
- We may remove, modify, or restrict access to events that appear to violate these Terms or applicable laws.
6. Location Services
- The Services may use your device's location to show nearby jams, events, and users.
- By enabling location features, you consent to our collection and use of location information as described in the Privacy Policy.
- You can disable location tracking in your device settings, but certain features may not function without it.
7. Fees and Payments
Jamly may in the future offer paid features, subscriptions, or other services ("Paid Services"). If you choose to use Paid Services:
- You agree to pay all applicable fees, taxes, and charges associated with the Paid Services.
- Prices and features of Paid Services are subject to change, but changes will not apply retroactively to already-paid periods unless expressly stated.
- Certain payments may be processed by third-party payment processors; their terms and privacy policies may apply in addition to these Terms.
- Except where required by law, all payments are non-refundable unless we explicitly state otherwise.
8. Intellectual Property
- All rights, title, and interest in and to the Services (including software, design, logos, text, graphics, images, and other content) are owned by Jamly or its licensors.
- "Jamly" and all related names, logos, and marks are trademarks of Jamly LLC. You may not use them without our prior written consent.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use, strictly in accordance with these Terms.
9. User Content
9.1 Ownership
You retain ownership of content you submit, post, or display on or through the Services ("User Content").
9.2 License to Jamly
By submitting User Content, you grant Jamly a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host,
store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such
User Content in connection with operating, improving, marketing, and providing the Services.
9.3 Your Responsibilities
- You are solely responsible for your User Content.
- You represent that you have all rights necessary to grant the license above and that your User Content does not infringe or violate any third-party rights.
- We may, but are not obligated to, monitor, remove, or restrict access to User Content that we believe violates these Terms or is otherwise harmful.
10. Feedback
If you provide feedback, ideas, or suggestions about the Services ("Feedback"), you agree that we may use the Feedback without restriction or compensation to you,
and you waive any claim based on moral rights or similar.
11. Third-Party Services and Links
- The Services may integrate with or contain links to third-party websites, apps, or services that are not owned or controlled by Jamly.
- We are not responsible for the content, terms, or privacy practices of third-party services.
- Your use of third-party services is at your own risk and may be subject to separate terms and policies.
12. Communications
- We may send you service-related communications (e.g., account notices, security alerts, event reminders) via the app, email, or other channels.
- Where permitted by law, we may send you marketing communications. You can opt out of marketing communications, but we may still send you transactional or service-related messages.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind,
whether express, implied, statutory, or otherwise.
Without limiting the foregoing, Jamly disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will be uninterrupted, secure, or error-free.
- Any defects or errors will be corrected.
- The information or content (including User Content) available through the Services is accurate, complete, or reliable.
- Events, users, or locations surfaced through the Services will be safe, appropriate, or suitable for you.
Your interactions with other users and your attendance at events are solely at your own risk. Jamly is not responsible for the actions or omissions of any user or third party.
14. Limitation of Liability
To the maximum extent permitted by law, Jamly and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental,
special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses,
resulting from:
- Your access to or use of, or inability to access or use, the Services.
- Any conduct or content of other users or third parties.
- Unauthorized access, use, or alteration of your transmissions or content.
To the extent any liability is not excluded, Jamly's total cumulative liability arising out of or related to these Terms or the Services will not exceed the greater of:
(a) the amounts you have paid to Jamly for use of the Services in the 12 months preceding the claim, or (b) the equivalent of 50 USD.
Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Jamly and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages,
losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of the Services.
- Your User Content.
- Your violation of these Terms or any applicable law.
- Your interaction with any other user or participation in any event.
16. Termination and Suspension
- You may stop using the Services and delete your account at any time.
- We may suspend or terminate your account or access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, or if we discontinue part or all of the Services.
- Upon termination, your right to use the Services will immediately cease, but certain provisions of these Terms will survive (including those relating to intellectual property, disclaimers, limitations of liability, and indemnification).
17. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of Georgia, without regard to conflict-of-laws principles.
You agree that the courts of Georgia will have exclusive jurisdiction over any dispute or claim arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of such courts.
Mandatory consumer rights under local law that apply to you are not waived by this section.
18. Changes to These Terms
- We may update these Terms from time to time.
- When we make material changes, we will update the "Effective Date" at the top of this page and may provide additional notice (for example, via in-app notification or email).
- Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
19. Miscellaneous
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
- You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
